Dell to Acquire Leading SaaS E-Mail Continuity, MessageOne, Inc.

image Dell has signed a definitive agreement to acquire MessageOne, Inc., an industry leader in Software-as-a-Service (SaaS) enabled enterprise-class e-mail business continuity, compliance, archiving and disaster recovery services. The acquisition, for approximately $155 million in cash, has been approved by the board of directors of each company and is subject to regulatory approvals and customary closing conditions.

MessageOne’s suite of services helps eliminate the downtime and complexity associated with managing, archiving, e-discovery, and long-term storage of e-mail.

“This is a valuable acquisition for Dell. MessageOne’s offerings add key capabilities to our growing SaaS-enabled services portfolio for the most critical application to businesses of any size – e-mail,” said Steve Schuckenbrock, president, Dell Global Services, and chief information officer. “MessageOne’s services not only meet the needs of large companies – with an impressive roster of existing Fortune-500 customers and marquee partners as proof points – but can also scale down cost effectively to meet the needs of small and medium business customers.”

A leader in the industry, MessageOne brings to Dell world-class technology and talent that will broaden Dell’s configurable services offerings. The company plans to make MessageOne offerings available after close to both direct customers and channel partners.

Dell’s services strategy is focused on providing customers and partners a configurable SaaS suite of mission-critical capabilities that span primary business functions such as e-mail. MessageOne’s e-mail business continuity and compliance offerings complement recent Dell SaaS acquisitions and expand on the company’s ProSupport offerings of configurable services announced last week.

Acquisition Background

The acquisition of MessageOne is a valuable addition to Dell’s SaaS suite, and in line with its business strategy.

The Dell Board of Directors took a number of additional steps as part of the acquisition process because the transaction involves related parties. As outlined in Dell’s current report on Form 8-K filed with the Securities and Exchange Commission that will be available at www.dell.com/investors, MessageOne was co-founded by Adam Dell, Michael Dell’s brother, and is owned in part by two investment funds, Impact Venture Partners and Impact Entrepreneurs Fund, managed by Adam Dell. Michael Dell, Susan Dell, a trust for the Dell’s minor children, and Mr. Dell’s parents are also investors in the Impact funds. Adam Dell also serves as MessageOne’s non-executive chairman of the board.

“We recognized as we began considering a potential acquisition of MessageOne that related-party interests existed and that this required a series of measures designed to ensure that the transaction was considered, analyzed, negotiated and approved objectively and independently,” said Don Carty, Dell CFO and vice chairman. “The process that our Board of Directors put in place provided the high degree of independence and diligence required in this circumstance,” said Mr. Carty.

To ensure objectivity and transparency:

    - Michael Dell was excluded from negotiating acquisition terms and from all aspects of the decision-making process.
    - The independent members of Dell’s board of directors (excluding Michael Dell and Don Carty) explored and analyzed in detail the process by which management identified, proposed, analyzed and negotiated the acquisition to ensure that management was acting independently and in the best interests of Dell Inc. and its shareholders.
    - The Dell board received an opinion from Morgan Stanley & Co. Incorporated to the effect that, as of Feb. 11, 2008 and based upon and subject to the matters stated in its opinion, the consideration to be paid by Dell pursuant to the merger agreement was fair, from a financial point of view, to Dell Inc.

Following this process and after consideration of the relationships and the interests of Michael Dell, Adam Dell and members of the Dell family, the independent members of the Dell board concluded that the transaction was fair to, and in the best interests of, Dell Inc. and its shareholders and approved the transaction.

It is currently expected that, when the Impact funds distribute the acquisition consideration to their partners, Adam Dell will receive approximately $970,000; Michael Dell, Susan Dell and their children’s trust, collectively, will receive approximately $12 million; and Mr. Dell’s parents will receive approximately $450,000.

Michael and Susan Dell have indicated that the proceeds that they and their children’s trust receive from the acquisition will be donated to charity.

Dell announces new agency agreement with WPP valued at $4.5 billion in agency billings over three years

image Dell is announcing today that it will partner with WPP, who will join Dell to create a new global integrated marketing and communications agency.

"Together with the WPP agency, Dell is creating a new marketing model designed to further propel Dell’s growth. We’ve been calling this “Project DaVinci” because we’ve been looking for the combination of artist and scientist – an agency that has both the creative horsepower and ability to measure the business impact of their work." said Mark Jarvis, Chief Marketing Officer.

"The agency will be charged with building shareholder value via programs that are centered on “creativity with a business purpose”. We believe this is the first time a global client and agency have come together to redefine the “agency” on such a scale."

The process started with Vice President of Global Marketing, Casey Jones, joining Dell eight months ago and discovering that the company was working with more than 800 agencies worldwide. Project Da Vinci was soon started and, as Casey has often said, “Instead of dating 800 agencies, we are creating a partnership with one firm. We want our partner to spend 100% of their time thinking about our customers, rather than how they will get the next assignment.”

"We’ve made several observations together during the agency review process that will guide our effort going forward. Here are a few as well as additional commentary from Casey, who is our leader of Da Vinci."

Dell Simplifies Search With Google

image Dell today will help simplify enterprise search for U.S. customers by selling the Google Search ApplianceTM  and the Google MiniTM , through Dell’s direct corporate and public sales organizations (see www.dell.com/googlesearch). The Google Search Appliance starts at $30,000 and the Google Mini starts at $1,995. Both search appliances are covered by Google warranty and support services.

“Having the Google Search Appliance and Google Mini available from Dell bolsters our enterprise offerings and helps simplify the search engine process for our commercial and public customers,” said Terry Klein, Dell vice president, Americas Advanced Solutions Group. “Google’s turnkey search appliances align well with Dell’s priority to simplify information technology in the data center.”

The Google Search Appliance, with its distinctive bezel and yellow chassis, is designed for larger enterprises, while the blue Google Mini is targeted for the small and medium business market. These appliances deliver relevant search results from information sources within a company’s firewall. Companies can also design their own interface that users recognize from their familiarity with Google.com, without compromising existing corporate security requirements.

Dell unveiled the Dell XPS One – an all–in-one premium consumer electronics system

Dell to Acquire Everdream

image Dell has signed an agreement to acquire privately-held Everdream, a leading provider of Software-as-a-Service (SaaS) solutions for remote-service management.

Terms were not disclosed and the purchase will not be final until all closing conditions are met. Everdream is based in Fremont, Calif., with a second facility in Charlotte, N.C.

The planned acquisition is a key component in Dell’s strategy of enabling customers to Simplify IT. Everdream’s capabilities complement those provided by the recently acquired SilverBack Technologies, further enabling end-to-end remote management of customers’ IT environments. With this acquisition, Dell can now extend remote management of critical IT assets from servers, storage, printers, etc. to desktops, notebooks and other end-user devices globally.

Dell Named No. 1 In Server Customer Satisfaction

Dell today was named number one in customer satisfaction for standards-based servers in the Technical Business Research (TBR) Q2 2007 Corporate IT Buying Behavior & Customer Satisfaction Study: x86-based Servers (Source: Technology Business Research '2Q07 x86-Based Server Customer Satisfaction Study', August 15, 2007)

“Dell is focused on delivering the best customer experience, bar none,” said Brad Anderson, senior vice president, Dell Product Group. “Our commitment to simplify information technology -- from our ninth-generation PowerEdge™ servers to our forthcoming blade, virtualization, systems management and other solutions -- will continue to deliver an outstanding experience for our customers.”

According to TBR, Dell’s overall weighted score improved 1.1 percent sequentially, while HP and IBM declined by 1.5 and 0.8 percent, respectively. Dell was the only systems provider to show an improvement in TBR’s latest study, with customer satisfaction scores increasing in eight of the nine attributes measured, including server management, phone support, delivery time, value and ease of doing business.

“Dell has benefited by strengthening its marketing arm, delivery time, overall value and support, and ease of doing business,” said Julie Perron, Manager of Primary Research, Technology Business Research, Inc “This is clearly an indicator of ongoing investments in product design, delivery and customer experience for the past 18 months that accelerated during the past two reporting periods.”

Ask.com, Dell Partner For A Better Planet

Ask.com® , a leading search engine and wholly owned business of IAC , and Dell today announced collaborative efforts to help protect the environment with custom, energy-efficient servers and the planting of thousands of trees to offset carbon emissions.

Ask.com and Dell's Data Center Solutions Division (DCS) have developed an environmentally friendly plan that includes a combination of hardware and services to further Ask.com's data center efficiencies. Specifically, the project provides a comprehensive computing architecture, including custom energy-efficient servers manufactured by Dell. Ask.com has found the new servers use 30 percent less power without compromising computing performance.

Additionally, Ask.com is the first corporate customer to participate in Dell's "Plant a Tree for Me" program, which makes it easy for individuals and organizations to offset carbon emissions associated with electricity generated to power computer equipment. Dell partners with The Conservation Fund and Carbonfund.org, non-profit organizations that plant trees in managed reforestation projects to sequester carbon. Through its participation in the program, Ask.com will facilitate the planting of thousands of trees.

Dell Plans to Acquire ZING Systems Inc.

Dell announced yesterday it has entered into an agreement to acquire privately-held ZING Systems Inc., a consumer technology and services company that focuses on always-connected audio and entertainment devices. In a move that reflects the renewed interest and energy being directed at its Consumer business, Dell plans to use ZING and its capabilities to continue improving the entertainment experiences it provides its customers.

Terms were not disclosed, and the purchase will not be final until all closing conditions are met. ZING is based in Mountain View, CA.

Dell Plans to Acquire ASAP Software for approximately $340 million

Dell announced today that it has entered into an agreement to acquire ASAP Software, a leading software solutions and licensing services provider and a subsidiary of Corporate Express.

The acquisition will strengthen Dell’s existing software business by integrating ASAP’s complementary expertise in managing software licensing, purchasing, renewals, and compliance.

Under the agreement, Dell will purchase ASAP for approximately $340 million. The acquisition is subject to regulatory approvals and customary closing conditions. It is anticipated to close during Dell’s fiscal third quarter.

“Merging Dell’s software business with ASAP is part of our effort to re-invent and simplify the way our customers get access to IT,” said Paul Bell, senior vice president and president, Dell Americas. “After the acquisition is completed, our customers will have one of the world’s leading software solutions providers as a single point of expertise and accountability for software licensing, compliance, renewal and asset management.”
