Emerson to Acquire Motorola’s Embedded Communications Computing Business

Emerson and Motorola, Inc. today announced that the two companies have entered into a definitive agreement under which Emerson will acquire Motorola’s Embedded Communications Computing (ECC) business for $350 million in cash. Motorola’s ECC business, which had 2006 revenue of approximately $520 million, will strengthen Emerson’s position in the $6 billion-and-growing merchant embedded computing industry. Upon completion of the transaction, Motorola’s ECC business will become part of Emerson Network Power. The transaction is expected to be completed by the end of the calendar year and is subject to customary closing conditions and regulatory approvals.

Motorola’s ECC business is a leading provider of embedded computing products and services to communication infrastructure and equipment manufacturers in telecommunications, medical imaging, defense and aerospace and industrial automation. Based in Tempe, Arizona, Motorola’s ECC business has approximately 1,100 employees. The business has driven open standards and pioneered technologies based upon them since it was formed in 1980.

For Emerson, the transaction enhances its ability to meet the embedded computing needs of customers in telecommunications and other industries. Motorola’s ECC business brings complementary advanced technology and leverages existing marquee customer relationships with Emerson Network Power’s embedded computing and embedded power businesses.

For Motorola, the transaction sharpens its focus on its core businesses and technologies and provides additional capital to drive further growth and enhance shareholder value.

The primary purpose of embedded computing technology is to control machines or other computer systems and manipulate data. For example, in telecommunications, embedded computing consolidates, translates, routes and monitors voice, video and data information across multiple networks. Local and long distance wireline offices and wireless base stations depend on embedded computing technologies to operate at peak performance.

Emerson Network Power and Motorola ECC embedded computing technologies specifically feature industry standards known as Advanced Telecommunications Computing Architecture (AdvancedTCA) and Micro Telecommunications Computing Architecture (MicroTCA). These standards are being adopted by major telecom companies because they increase network capacity while lowering the total cost of ownership.

“Wireless adoption is driving long-term telecommunications market growth and broadband applications are reviving near-term wireline investment,” Farr said. “As we watch the telecom world quickly bring voice, video and data together for its customers, we believe the addition of the Motorola ECC business significantly strengthens our position for growth.”

Because AdvancedTCA and MicroTCA have higher power allowance and more advanced power distribution — which permits more functionality and higher performance — the acquisition of Motorola’s ECC business also complements Emerson’s existing strengths in embedded power and advanced power conversion. These industry standards apply not only to telecommunications, but to other markets as well, including industrial automation and medical imaging sectors.

Motorola Demonstrates World's First WiMAX 802.16e Mobile Handoffs

Motorola presented a mobile WiMAX experience last night that included live handoffs during an exclusive cruise along the Chicago River for media and industry analysts in town to attend WiMAX World USA. Attendees experienced uninterrupted mobile applications including web browsing, voice over IP (VoIP) calls, video streaming and MobiTV while moving past access point sites along the route of the cruise.

In addition to the cruise, Motorola has successfully demonstrated several of these applications on streets along the Chicago River while driving at speeds beyond 50 mph and while riding Chicago’s famed elevated train. These demonstrations are another step in achieving an all IP wireless mobile network that is capable of supporting VoIP, data and video.

“Motorola has reached a significant milestone in the industry by proving through these demonstrations that mobile WiMAX is real and ready for commercial deployment,” said Fred Wright, Motorola senior vice president, Home & Networks Mobility. “We tackled one of the most challenging environments -- a river lined with tall buildings, 30 feet below street level, and crossed by numerous steel bridges -- to bring this WiMAX experience to life.”

“Motorola has made tremendous progress in the deployment of our Xohm WiMAX network in Chicago. This live demonstration provided just a glimpse of what WiMAX technology can deliver,” said Barry West, Sprint Nextel CTO and president, Xohm Business Unit. “We are on schedule to begin Xohm pre-commercial service in Chicago by the end of 2007, with commercial service planned in that and other markets beginning April 2008.”

Motorola, a market-leading provider of end-to-end WiMAX solutions with 40 WiMAX trial deployments with customers around the world and contracts with 12 of them for commercial WiMAX systems, showcased its latest high mobility software on Sprint’s pre-commercial Xohm network. The array of devices used during the outing included Motorola’s trial WiMAX mobile handset developed for high speed video telephony and laptops enabled with Motorola’s WiMAX PC cards. The network infrastructure used for this demonstration was standard Motorola WAP 25400 access points with backhaul provided by Motorola’s wireless IP backhaul equipment to its Innovation Center in Schaumburg, Ill., where a Motorola IMS provided connection to the public switched telephone network.

“Motorola continues to drive market acceptance of WiMAX technology by delivering products and deploying networks that meet the diverse needs of many types of operators worldwide,” said Phil Marshall, vice president of Yankee Group’s Enabling Technology and Asia-Pacific Research and Consulting practices, who was also on the cruise. “From the nationwide 802-16e network it deployed in Pakistan to connect the previously unconnected, to the network it is building for Sprint to deliver a whole new mobile internet experience, Motorola has proven itself to be a leading supplier of end-to-end WiMAX solutions.”

The Chicago market is one of six in the U.S. that Sprint has awarded to Motorola to build WiMAX network infrastructure to support its recently announced Xohm mobile Internet services.

With Xohm mobile Internet, customers will be able to experience a new form of interactive communications, high-speed Internet browsing, local and location-centric services, and multimedia services including music, video, TV and on-demand products. Sprint also plans to bring Xohm WiMAX mobile Internet customers search, interactive communications and social networking tools through a new mobile portal in a deal announced with Google.

WiMAX technology is changing the way the telecommunications industry is looking to connect people to people, and to the information and entertainment they want on-the-go. WiMAX technology will allow consumers, businesses and government to experience a data network that offers faster speeds, greater convenience and enhanced multimedia quality. WiMAX also makes broadband accessible in all regions of the world for fixed, portable and mobile users with the most cost-effective, fastest and easiest-to-deploy option in the market today, often providing an economical way to provide telecom service where previously there was none.

The WAP 25400 is part of Motorola’s WAP 400 series which features diversity antenna techniques and provides Non-Line-of-Sight, fixed and mobile wireless broadband connections. These access points are based on the IEEE 802.16e-2005 technology standard and include spectrally efficient S-OFDMA interface, low latency performance, and IP based architecture.

Enhanced system gain, supported by diversity MIMO antenna capabilities, allows strong indoor penetration as well as support for cellular-like mobility applications. Additionally, QoS capabilities, security features, and redundancy options make the WAP 400 series platform a true carrier-class solution. The WAP 400 series access points, paired with a common IP core, will support seamless inter-technology handovers.

Motorola Completes Acquisition of Leapstone Systems

Motorola, Inc. has completed the acquisition of privately-held Leapstone Systems, Inc. Leapstone is a leading communications software developer that provides a unified platform for rapidly creating, managing and delivering converged video, voice and data service bundles across multiple networks and devices. Terms of the transaction were not disclosed.

Leapstone flagship Communications Convergence Engine (CCE) product suite is a real-time service delivery platform that enables fixed and mobile network operators to expand and evolve their service offerings through its powerful Service Broker and Content Manager software products. Leapstone has a proven commercial track record of success and counts some of the world’s leading service providers as its customers.

As of today, Leapstone becomes a part of Motorola’s Home & Network Mobility business.

The two companies announced a definitive merger agreement on July 10, 2007.

Motorola and China Mobile Announce Contracts Worth US$394 Million

Motorola, Inc. today announced contracts worth US $394 Million with China Mobile Communications Corporation (CMCC) for GSM network expansion. The multiple contracts were signed in the first half of 2007 and reflect Motorola's ongoing leadership in providing comprehensive telecommunications solutions. Approximately 60% of the Revenue from these contracts was recognized in the first half of 2007.


Pursuant to the contracts, Motorola supplied CMCC with GSM infrastructure equipment such as its Horizon II base stations, in addition to value added services. The expanded networks are now successfully deployed across 16 provinces and municipalities, including Beijing, Tianjin, Si Chuan, Zhe Jiang, Hunan, Guangdong, Yun Nan, Fu Jian, Hu Bei, Shan Xi, Jilin, Liaoning, Jiang Xi, Anhui, Guizhou and Inner Mongolia. The network expansion and services will enable China Mobile to not only grow its subscriber base, but better manage its complex network to provide users with more attractive high-quality services, such as multimedia functionality.

“Today’s announcement clearly illustrates Motorola’s continued success in the GSM market and its position as one of the leading equipment and services suppliers in China,” said Ruey-Bin Kao, president of Motorola China. “Our goal is to continue to provide China Mobile with a state-of-the-art GSM network that enlarges its network coverage, maximizes investment and delivers the best services to its customers.”

Motorola Unveils MOTOMAGX Mobile Linux Platform

Motorola today announced a significant step in its commitment to mobile Linux and rich experience creation by introducing MOTOMAGX, its next generation mobile Linux platform. Building on the global success of Motorola's earlier Linux-based platforms, MOTOMAGX lays the foundation to deliver new levels of openness, flexibility and support for third-party applications on Motorola mobile devices.

Motorola has sold more than 9 million Linux-based handsets worldwide -- and this is just the beginning. In the next few years, up to 60% of Motorola’s handset portfolio is expected to be based on Linux, with the MOTOMAGX platform playing a key role in supporting this strategy. Offering unmatched innovation driven by a robust developer ecosystem, Motorola has chosen Linux to deliver the rich, new experiences that consumers crave. This is evident in the first products based on the MOTOMAGX platform: the music-optimized MOTOROKR Z6 and the Motorola RAZR V8 handsets, available now in select markets worldwide. Motorola Completes Acquisition of Terayon Communication Systems

Motorola announced yesterday that it has completed its acquisition of Terayon Communication Systems. Motorola acquired all of the outstanding shares of Terayon’s common stock for $1.80 per share in cash. The transaction has a total equity value of approximately $140 million on a fully-diluted basis.

The acquisition of Terayon and its software-driven application solutions enhances Motorola’s video infrastructure and seamless mobility core by providing Motorola with industry-recognized video processing solutions that enable digital ad insertion, motion and graphical overlays, channel branding and channel line-up solutions as well as cutting-edge ad insertion delivery technologies. These solutions will enable Motorola’s customers to optimize bandwidth and deliver content based upon the regional and local interest of viewers, accelerating the service provider’s ability to evolve and capitalize on new business opportunities.

The transaction is expected to be neutral to Motorola’s earnings per share in 2007, excluding certain non-cash charges relating to amortization associated with acquired intangibles and other one-time accounting and transaction-related costs.
